You represent that you comply with all applicable anti-spam and data protection laws and have lawful basis for any personal data used. You assume all regulatory risk and liability.

5 Prohibition on Circumvention of Safeguards

You may not use the Service to evade, defeat, interfere with, or undermine technical safeguards, access controls, rate limitations, authentication systems, or security measures of third parties.

6 Acceptable Use

You may not use the Service for unlawful, abusive, fraudulent, deceptive, malicious, or high-volume abusive activities.

7 No Deliverability Guarantee

11 Abuse & Audit Rights

12 Regulatory Cooperation

13 Independent Relationship

No agency, partnership, or employment relationship is created.

14 No Warranty of Legality

15 Indemnification

You are solely responsible for verifying that all data used with the Service has been lawfully obtained and may be lawfully used.

24 No Targeting of Restricted or Protected Systems

You may not use the Service to interact with, submit to, or target any website, platform, or system that:

• prohibits automated submissions, bots, or bulk messaging;
• implements safeguards intended to prevent automated or repeated submissions;
• restricts or conditions access to human users only.

25 System Interference Prohibition

You may not use the Service in any manner that interferes with, disrupts, degrades, or places an unreasonable load on any third-party system, network, or infrastructure.

26 Enhanced Indemnification for Communications Activity

Without limiting any other indemnification obligations, you agree to indemnify, defend, and hold harmless the Company from and against any claims, fines, penalties, investigations, or regulatory actions arising out of or related to:

• any messages, submissions, or communications transmitted using the Service;
• allegations of unsolicited communications, spam, or improper outreach;

27 No Control Over User Targeting or Content

The Company does not select, control, review, or approve any recipients, targets, or content transmitted using the Service.

You acknowledge that you are solely responsible for:

28 Right to Restrict High-Risk Usage

32 Affiliate Links & Tracking

Affiliates will be provided with unique tracking links. You are responsible for ensuring links are properly formatted. We are not responsible for tracking failures due to incorrect implementation, browser restrictions, ad blockers, or technical issues beyond our control.

33 Commissions

Commissions are earned only on qualified payments made by referred users. A “qualified payment” is defined as a completed, non-refunded transaction.

Commissions are not earned on:

• Refunded transactions
• Chargebacks or disputed payments
• Fraudulent or self-referred accounts

We reserve the right to review and reverse commissions in cases of abuse, fraud, or violation of these terms.

34 Payment Terms

Commission payouts are issued on a periodic basis (e.g., monthly), subject to a minimum payout threshold. Payments may be delayed to account for refunds, disputes, or fraud checks. Affiliates are responsible for providing accurate payment details.

35 Prohibited Activities

Affiliates may not:

• Misrepresent our platform or make false claims
• Engage in spam, unsolicited outreach, or illegal marketing practices
• Use trademark bidding (e.g., bidding on our brand name in paid ads) without written permission
• Self-refer or create fake accounts to generate commissions
• Use deceptive redirects, cookie stuffing, or forced clicks

Violation may result in immediate termination and forfeiture of unpaid commissions.

36 Marketing Compliance

Affiliates are solely responsible for ensuring their promotional methods comply with all applicable laws and regulations, including but not limited to:

• Anti-spam laws
• Data protection and privacy laws
• Advertising disclosure requirements (e.g., clearly disclosing affiliate relationships)

37 Intellectual Property (Affiliate)

We grant affiliates a limited, non-exclusive, revocable license to use our brand assets solely for promoting our services. You may not modify brand assets or represent yourself as the company.

38 Termination (Affiliate)

We may suspend or terminate your participation at any time, with or without cause. Upon termination:

• All affiliate links must be removed
• Any unpaid commissions may be forfeited if termination was due to violations

39 Modification (Affiliate)

We reserve the right to modify or discontinue the Affiliate Program at any time. Continued participation constitutes acceptance of any updated terms.

40 Relationship of Parties (Affiliate)

Affiliates are independent contractors. Nothing in this agreement creates any partnership, joint venture, or employment relationship.
